Legal notice: These Terms of Service govern your access to and use of https://praxalo.com and all products sold by Praxalo. Please read them carefully. Questions? Email legal@praxalo.com.

1. Acceptance of Terms

Plain English: By using this site or buying a template, you agree to these terms. If you don't agree, please don't use the site. You must be at least 18 to purchase.

By accessing https://praxalo.com, browsing our products, or completing a purchase, you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you are purchasing on behalf of a business, you represent that you have authority to bind that business to these Terms.

You must be at least 18 years old to make a purchase. By completing a purchase you confirm you meet this age requirement.

The current version of these Terms is always available at https://praxalo.com/terms. We may update them from time to time — see Section 13 for how we handle changes.

2. What We Sell

Plain English: We sell Next.js website template files — downloadable code, not a hosted service. You get the files; you build and host the site yourself.

Praxalo sells downloadable website template files ("Templates") built with Next.js 15, TypeScript, and Tailwind CSS, designed for medical and dental practices. Templates are delivered as downloadable code packages, not as hosted or managed services.

We make reasonable efforts to ensure the Site is available, but we do not guarantee uninterrupted access. Template delivery depends on third-party services including our payment processor and file storage.

3. Licenses

Plain English: When you buy a template, you get a license to use the code — not ownership of it. Which things you can do depend on whether you bought a Single-Site or Developer license.

Upon successful payment, Praxalo grants you a non-exclusive, non-transferable, perpetual license to use the purchased Template files, subject to the restrictions below.

3.1 Single-Site License

A Single-Site license permits you to:

• Deploy the Template on one (1) production website
• Modify the Template files for that deployment
• Use the Template to build a site for yourself or one client

3.2 Developer License

A Developer license permits you to:

• Deploy the Template on an unlimited number of client websites
• Modify the Template files for each deployment
• Sell completed, deployed websites (built using the Template) to clients
• Receive Template updates for 12 months from the date of purchase
• Access priority support for 12 months from the date of purchase

3.3 What Neither License Permits

Regardless of license tier, you may not:

• Redistribute, resell, sublicense, or share the Template source files themselves
• Include the Template files in a competing template marketplace or product
• Claim authorship of the original Template design or architecture
• Remove or obscure any copyright notices in the Template files
• Use the Template to build a site that itself sells the Template or substantially similar template files

3.4 License Survival

Your license to the Template version you purchased is perpetual — it does not expire. The 12-month update and support window in Developer licenses refers only to receiving new versions and priority support, not to the usability of your existing files.

4. Payment and Pricing

Plain English: It's a one-time payment — no subscriptions, no auto-renewals. You pay once; you keep the files. Prices are in USD and include applicable taxes collected through Stripe.

All purchases are one-time payments. There are no subscriptions or recurring charges. Prices are displayed in US dollars. Payment is processed by Stripe. By completing a purchase, you authorize Stripe to charge your payment method for the displayed amount.

Stripe may collect applicable taxes based on your location. Praxalo reserves the right to change prices at any time; the price displayed at checkout is the price you pay.

5. Refund Policy

Plain English: Not happy? Email us within 14 days and we'll refund you — no questions asked. After 14 days, purchases are final because the files have been downloaded.

We offer a 14-day money-back guarantee. If you are not satisfied with your purchase for any reason, email hello@praxalo.com within 14 days of your purchase date and we will process a full refund within one business day.

After 14 days, all sales are final. Because Templates are digital files that are immediately accessible upon purchase, refunds are not available after the 14-day window has elapsed.

Refunds are not available for purchases made with intent to copy the Template and then request a refund. Praxalo reserves the right to deny refunds if we have reasonable evidence of abuse.

6. Intellectual Property

Plain English: We own the templates; you own the sites you build with them. The Praxalo name and logo are ours — please don't use them without asking.

All Template files, design assets, documentation, and the Praxalo brand (including name, logo, and visual identity) are owned by Praxalo and protected by copyright and other intellectual property laws. Purchasing a license does not transfer ownership of any intellectual property.

You retain full ownership of any original content, copy, images, and data you add to a Template-based site. Praxalo claims no rights to the completed websites you build.

7. Prohibited Conduct

Plain English: Don't do anything illegal, don't abuse the site, don't try to access things you're not supposed to. Basic stuff.

When using this Site, you agree not to:

• Violate any applicable law or regulation
• Attempt to gain unauthorized access to any part of the Site or its infrastructure
• Use automated tools to scrape, crawl, or download content at scale
• Introduce malware, viruses, or harmful code
• Impersonate Praxalo or any other person or entity
• Engage in any conduct that could damage, disable, or impair the Site
• Attempt to reverse engineer, decompile, or extract proprietary elements beyond what the license explicitly permits
• Make fraudulent purchases with the intent to refund after downloading

Praxalo reserves the right to refuse service to anyone for any reason.

8. Privacy and Data Protection

Plain English: We collect minimal data — basically just what Stripe needs to process your payment. Our Privacy Policy has the full details.

Your use of this Site is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Site, you agree to the collection and use of information as described there.

GDPR (EEA and UK Residents)

For users in the European Economic Area or United Kingdom, we process personal data on the legal bases of contractual necessity (to fulfill your purchase), legal obligation (tax records), and legitimate interest (security). You have the right to access, rectify, erase, restrict, and port your data, and to object to processing. Contact legal@praxalo.com to exercise these rights. You may also lodge a complaint with your local Data Protection Authority.

CCPA (California Residents)

California residents have the right to know what personal information we collect, request deletion of their information, and opt out of any sale of personal information. We do not sell personal information. To exercise your rights, contact legal@praxalo.com.

9. Disclaimers

Plain English: The templates are provided as-is. We stand behind the quality, but we can't guarantee they'll be perfect for every use case or that the Site will never go down.

THE SITE AND TEMPLATES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Praxalo does not warrant that (a) the Templates will meet your specific requirements, (b) the Site will be uninterrupted, error-free, or free of harmful components, or (c) the results obtained from using the Templates will be accurate or reliable.

Template deployment and performance on third-party hosting services (Vercel, Netlify, etc.) is outside our control. SEO outcomes from using the Templates are not guaranteed and depend on many factors beyond the technical implementation.

Force Majeure

Praxalo is not liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including natural disasters, governmental actions, internet or infrastructure outages, or third-party service failures.

10. Limitation of Liability

Plain English: If something goes wrong, our liability is capped at what you actually paid us. We can't be held responsible for indirect or consequential damages.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PRAXALO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR TEMPLATES.

IN NO EVENT SHALL PRAXALO'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE EXCEED THE AMOUNT YOU PAID TO PRAXALO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the greatest extent permitted by law.

11. Indemnification

Plain English: If someone sues us because of something you did with a template — like using it to do something illegal — you're responsible for those costs, not us.

You agree to indemnify, defend, and hold harmless Praxalo and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or in any way connected with: (a) your use of the Templates or Site in violation of these Terms; (b) your violation of any applicable law; or (c) any content or work product you create using the Templates.

12. Termination

Plain English: You can stop using the site whenever you want. We can revoke your license if you seriously violate these terms (like redistributing the template files). Your perpetual license to already-purchased files survives as long as you haven't violated the terms.

These Terms remain in effect as long as you use the Site or hold a license to any Template.

Praxalo may suspend or terminate your access to the Site and revoke your license to any Template immediately upon notice if you materially breach these Terms — specifically including unauthorized redistribution of Template files, fraudulent purchase activity, or use of the Template in a competing product in violation of Section 3.3.

Upon termination for cause, you must cease all use of the Template files and delete all copies in your possession. Sections 6, 9, 10, 11, and 14 survive termination.

13. Changes to These Terms

Plain English: If we make significant changes to these terms, we'll let you know. Minor clarifications may happen quietly, but anything material gets a notice and a new effective date.

Praxalo reserves the right to modify these Terms at any time. For material changes, we will provide at least 30 days' notice by updating the "Last Updated" date on this page and, where practical, by emailing customers whose purchase records include an email address.

Your continued use of the Site after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you may request a refund within the 14-day window or cease using the Site.

14. Governing Law and Disputes

Plain English: If there's ever a dispute, we'd like to work it out directly first — just email us. If that doesn't work, disputes are governed by US law.

These Terms are governed by and construed in accordance with the laws of the United States, without regard to conflict-of-law principles. For customers in the EU or UK, mandatory consumer protection rights under your local law are not affected by this clause.

Before initiating any formal legal action, you agree to contact us at legal@praxalo.com and give us 30 days to attempt to resolve the dispute informally. Most issues can be resolved with a direct conversation.

Nothing in these Terms prevents you from seeking urgent injunctive or equitable relief in a court of competent jurisdiction to prevent irreparable harm.

15. General

Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Praxalo with respect to the Site and Templates and supersede all prior agreements.

Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force and effect.

No Waiver. Failure to enforce any provision of these Terms shall not constitute a waiver of that provision.

Assignment. You may not assign your rights under these Terms without our prior written consent. Praxalo may assign these Terms in connection with a merger, acquisition, or sale of assets.

No Partnership. Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and Praxalo.
